Incentives for CEOs to Exit∗

چکیده

An important question for firms in dynamic industries is how to induce a CEO to reveal information that the firm should change its strategy, in particular when a strategy change might cause his own dismissal. We show that the uniquely optimal incentive scheme from this perspective consists of options, a base wage, and severance pay. Option compensation minimizes the CEO’s expected on-the-job pay from continuing with a poor strategy. Hence, a smaller severance payment is needed to induce the CEO to reveal information causing a strategy change than, e.g., under stock compensation or other forms of variable pay. The model suggests how deregulation and massive technological changes in the 1980s and 1990s may have contributed to the dramatic rise in CEO pay and turnover over the same period. ∗We thank numerous colleagues and seminar participants at Wharton, London Business School, New York University, CEMFI, London School of Economics, and HEC for valuable comments and suggestions. †INSEAD, London School of Economics, and CEPR. The Hidden Costs and Returns of Incentives – Trust and Trustworthiness among CEOs

We examine experimentally how Chief Executive Officers (CEOs) respond to incentives and how they provide incentives in situations requiring trust and trustworthiness. As a control we compare the behavior of CEOs with the behavior of students. We find that CEOs are considerably more trusting and exhibit more trustworthiness than students – thus reaching substantially higher efficiency levels tha...

Performance Incentives, Performance Pressure and Executive Turnover

We examine the relationship between the optimal incentive contract and the firm’s decision to fire a manager for poor performance. We first derive some theoretical results using a simple principal-agent model, and then examine the empirical evidence on the incidence of forced turnover among CEOs with different compensation contracts. We find that CEOs with steeper compensation contracts (i.e., ...

Bank Ceos , inside Debt Compensation , and the Global Financial Crisis

Bank executives’ compensation has been widely identified as a culprit in the Global Financial Crisis, and reform of banker pay is high on the public policy agenda. While Congress targeted its reforms primarily at bankers’ equity-based pay incentives, empirical research fails to show any correlation between bank CEO equity incentives and bank performance in the Financial Crisis. We offer an alte...

FORE! An Analysis of CEO Shirking

Is CEO effort important? Using CEO golf play as a measure of leisure, we observe significant variation in the amount of leisure that golfing CEOs consume. CEOs consume more leisure when they have lower equity-based incentives. Consistent with CEO effort being important and some CEOs shirking their firm responsibilities, we find CEOs that golf frequently are associated with firms that have lower...

Research on Incentives in the Compensation Contracts of Non-profit Hospital CEOs

In this paper, we use the multi-task principal agent model of Holmström and Milgrom [The Journal of Law, Economics and Organization 7 (1991) (Suppl.) 24] to argue that nonprofit hospitals represent an optimal response to information asymmetries between managers and board (government). For a board (government) with multidimensional objectives, the agency problem is getting top executives to dist...

Maintaining Optimal CEO Incentives through Equity Grants and CEO Portfolio Rebalancing

This paper examines the joint hypotheses that firms set optimal levels for CEO incentives, and that firms and CEOs jointly correct deviations from these optimal levels through equity grants and CEO portfolio rebalancing. I investigate two equity-based CEO incentives, pay-forperformance sensitivity and risk-taking incentive. Pay-for-performance sensitivity is defined as the change in CEO wealth ...
